Terms of Service

Hello! These Terms of Service ("Terms") outline the agreement between you (the "Client") and PureByte / Harry Wood (the "Developer", a sole trader) for the web development services provided. Please read them carefully. By commissioning work, you agree to be bound by these Terms.
1. Services
Web development services include, but are not limited to, website design, front-end development, back-end development, maintenance, and consulting. The specific services, scope, deliverables, and timelines for your project will be detailed in a separate Project Proposal or Agreement, which forms part of these Terms once agreed upon.
2. Project Process & Client Responsibilities
To ensure project success, you agree to:
- Provide timely feedback and approvals.
- Supply all necessary content (text, images, logos) promptly. Delays may impact the timeline.
- Designate a single point of contact.
- Ensure any provided materials are properly licensed. You are responsible for copyright infringements related to materials you supply.
3. Scope Changes (Revisions & Alterations)
The Project Proposal outlines the scope. Changes outside this scope require a revised estimate and may affect the timeline. Minor revisions during development are usually included as detailed in the Proposal.
4. Payment Terms
Payment terms are in the Project Proposal, typically involving:
- An initial deposit (30-50%) to commence work.
- Potential milestone payments.
- Final payment due before launch or final file delivery.
Payments are non-refundable once work starts. Late payments may incur interest or pause work. Fees exclude applicable taxes.
5. Intellectual Property Rights
Upon final payment, you receive full ownership and IP rights for the final, delivered website design and code created specifically for your project.
I retain the right to use the project in my portfolio and marketing, unless agreed otherwise. Pre-existing code/libraries remain property of their owners.
6. Confidentiality
Your provided information is confidential. I will not disclose it, except where necessary for the project or required by law. You agree to keep my proprietary information confidential.
7. Warranties and Limitation of Liability
Work will function as described in the Proposal for 30 days post-launch, provided no alterations are made by others. Bugs related to my work will be fixed free of charge during this period.
Beyond this warranty, liability is limited. I am not liable for indirect or consequential damages. Total liability will not exceed the project fees paid. I cannot guarantee perpetual error-free operation or future compatibility.
8. Termination
Either party can terminate with written notice for a breach not rectified within 14 days. If you terminate without cause, payment for completed work is due. If I terminate due to your breach, the deposit is forfeited, and completed work may be billed.
9. Governing Law
These Terms are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. **(Placeholder - Confirm/Update)**
10. Changes to Terms
I reserve the right to modify these Terms. Current terms apply to ongoing projects; the latest version applies to new projects. Significant changes will be communicated.
